SME IPO & Fund Raising

Listing on the SME platforms of BSE and NSE, and the fund-raising routes available before and after it.

Overview

The SME platforms opened listing to companies that would never have reached the main board, and the eligibility conditions, migration path and post-listing obligations are genuinely different. The decision is rarely only about capital - it is about whether the business is ready to operate under continuous disclosure. We advise on both questions, and on the alternatives where listing is not the right answer yet.

Common questions

SME IPO & Fund Raising — questions we are asked

The SME platforms apply different eligibility thresholds, a smaller minimum issue size and a distinct set of continuous obligations, and the issue is generally underwritten with market making for a defined period. Companies listed on an SME platform may migrate to the main board once they meet the applicable criteria.

Sometimes not. A listing brings permanent disclosure obligations, dilution and cost, and it is a poor fit for a business whose reporting discipline is not yet stable. Where that is the position we will say so, and set out the private routes instead.
