Capital Advisory
Setting up an Alternative Investment Fund and running its accounting, valuation, reporting and audit obligations afterwards.
Overview
An AIF is a regulated vehicle with a heavy and continuous back-office load: capital calls and drawdowns, unit accounting across classes, NAV computation, distribution waterfalls, investor reporting and periodic regulatory filings. Most of the risk sits in that routine rather than in the investment decisions. We work alongside fund managers and trustees on the structure at the outset and on the operations for as long as the fund runs.
What this covers
Category selection, structure design and support through the SEBI registration application.
Assistance with the private placement memorandum, contribution agreement and ancillary documents, alongside legal counsel.
Unit and class accounting, capital account maintenance and periodic NAV computation.
Computation of hurdle, catch-up and carried interest under the fund's own terms.
Audit of the fund's financial statements and scheme-level reporting.
Periodic filings, compliance test reports and reporting packs to contributors.
Pass-through treatment, investor-level withholding and cross-border considerations.
Common questions
No. Managing an AIF is a SEBI-registered activity carried on by the fund's investment manager. We act as advisers and service providers to funds, managers and trustees - on structuring, accounting, valuation support, reporting, tax and audit. We do not manage money, solicit investors or advise on the merits of any investment.
Before the first close, ideally before the fund documents are finalised. Waterfall mechanics, class rights and expense allocation are far easier to operate when the accounting has been designed alongside the documentation rather than reverse-engineered from it afterwards.
